Google Confirms Wiz Acquisition To Close In 2026; $3.2B Fee On The Line

The Department of Justice has officially cleared Google’s blockbuster $32 billion acquisition of security star Wiz as Google confirms to CRN that it expects the deal to close in 2026.

Google has confirmed the company expects to acquire cybersecurity star Wiz for $32 billion in 2026 after Wiz CEO Assaf Rappaport says the deal is now officially cleared by the U.S. Department of Justice (DOJ).

If the deal is blocked by other regulators, Google could be forced to pay Wiz a $3.2 billion breakup fee.

The DOJ decision to end its Google-Wiz merger investigation was recorded on October 24, according to the Federal Trade Commission’s (FTC) website.

Rappaport was asked about the DOJ review and if the merger had been cleared by the government during a Wall Street Journal event on Tuesday.

“Definitely,” Rappaport responded. “This is an important milestone, but we’re still in the journey between signing and closing.”

This June, antitrust regulators at the Justice Department were reviewing Google’s $32 billion acquisition of Wiz. The DOJ was reportedly reviewing the risk that Google could start bundling key security features into its Google Cloud Platform (GCP) stack and potentially block out competitors.

Google could be forced to pay Wiz the $3.2 billion breakup fee, approximately 10 percent of the deal value, if regulators end up blocking the deal.

Google Confirms Deal Will Close In 2026

Mountain View, Calif.-based Google confirmed to CRN today that the acquisition is expected to close by next year.

“The acquisition of Wiz is expected to close in 2026, subject to customary closing conditions,” said a Google spokesperson in an email. “We look forward to completing the review process in other jurisdictions.”

Google’s $32 billion purchase of the cybersecurity startup would be its largest acquisition in its history.

In 2022, Google pulled the trigger on one of its biggest acquisitions ever with the purchase of threat intelligence security standout Mandiant for $5.4 billion. Since the completion of that deal, Mandiant technology has become a staple inside Google’s security portfolio.

Google Cloud’s Plans For Wiz

Google plans to integrate Wiz into its cloud computing, AI and collaboration business unit Google Cloud.

The goal is to improve Google’s Cloud cybersecurity technologies and capabilities around multi-cloud systems.

“This will help spur the adoption of multi-cloud cybersecurity, the use of multi-cloud, and competition and growth in cloud computing,” said Google Cloud CEO Thomas Kurian earlier this year.

The merged company will look to help customers create a stronger foundation for cloud security with a portfolio including a unified security platform that combines Wiz’s Cloud Security Platform with Google Security Operations.

“We are aiming to provide customers with better security for enterprise systems and lower the cost of maintaining a strong security posture across their on-premises and multi-cloud environments,” said Kurian.

Alphabet’s $102 Billion Q3 2025 Earnings

Google owner Alphabet generated $102 billion in revenue during the third quarter of 2025, representing an increase of 16 percent year over year.

Operating income for the third quarter was $31.2 billion, an increase from $28.5 billion in third-quarter 2024.

Google Cloud generated $15.2 billion in total sales, up 34 percent year over year.

This means the cloud company currently has a $61 billion annual run rate.
